According to people familiar with the deal, the proceeds will cover a portion of construction costs for the Helios campus in Dickens County, Texas, and will also be used to fund debt service reserves associated with the project. The bonds are expected to be priced on July 23, with Morgan Stanley and Goldman Sachs leading the underwriting. The structure reportedly centers on five-year notes issued by a dedicated Galaxy subsidiary.

Under the current proposal, the issuing entity will begin to amortize 4% of the original principal annually, starting 10 months after construction reaches completion. That repayment profile, combined with long-dated customer contracts, is designed to make a speculative-grade issue more palatable to institutional investors who are increasingly comfortable funding AI infrastructure via junk bonds.

The deal would place Galaxy among a growing group of developers turning to the U.S. high-yield market to bankroll large-scale AI data centers. Galaxy’s bond sale comes on the heels of a similar move by another data center operator. A subsidiary of Applied Digital recently raised about $1.59 billion in the U.S. high-yield market to build out additional capacity for CoreWeave at a separate campus in North Dakota. Together, these transactions highlight how a handful of AI cloud specialists are anchoring massive, long-term infrastructure financing deals.

CoreWeave itself is central to Galaxy’s plan. Earlier this month, Galaxy revealed that CoreWeave had committed to 15-year leases for computing capacity at the Helios campus. Once fully operational, those contracts are projected to generate in excess of $1 billion in annual revenue, giving bondholders a line of sight to future cash flows tied directly to AI workloads. The agreements effectively serve as the economic backbone for the planned bond issuance.

Helios is already partially up and running. Galaxy has finished the first phase of construction at the Dickens County site, roughly 60 miles east of Lubbock, and is preparing for further expansion. The next major phase is scheduled to break ground in 2027 as the company scales the campus to serve increasingly intensive artificial intelligence and high-performance computing (HPC) applications.

Regulators have cleared the Helios campus for up to 1.6 gigawatts of power capacity dedicated to AI and HPC, according to previously released company figures.
